Item 1.01 Entry Into a Material Definitive Agreement
Effective as of March 31, 2005, H&E Equipment Services L.L.C. (H&E), Great Northern Equipment Services L.L.C. (together with H&E, the Borrowers), H&E Holdings, L.L.C., GNE Investments, Inc., H&E Finance Corp., General Electric Capital Corporation and the Lenders party thereto, entered into an amendment to the Borrowers Credit Agreement dated June 17, 2002, pursuant to which, among other things, the Lenders granted to the Borrowers an extension until September 30, 2005 to deliver H&Es audited financial statements for fiscal year 2004 and accompanying reports. Also, the Lenders waived any cross default or event of default resulting from H&Es non-compliance with the reporting obligations, related to the previously announced inability of H&E to file on a timely basis its annual report on Form 10-K, under the indentures governing the 11 1/8% senior secured notes due 2002 and the 12 1/2% senior subordinated notes due 2013 of H&E and H&E Finance Corp..
